2009: Solid Results in the Context of an Economic Environment Strongly Affected by Recession
Groupe Société Générale obtained in 2009 a consolidated net profit of RON 812 million (EUR 192 million), thus proving resistance to the effects of the crisis. The gross operating profit increased by 13% as against 2008.
In 2009, BRD - Groupe Société Générale was efficient in conducting all its business lines, despite a particularly difficult economic environment.
The main financial indicators of BRD-Groupe Société Générale as at 31/12/2009 are*:
|
NB: These figures do not include the impact of BRD's revaluation of its fixed assets, which is about to be finished. We estimate that the effect of such revaluation on the net profit, at this time, is a decrease by RON 15 million.
The incomes from fees increased by 7%, at a slower pace than in 2008, given the decrease in the volume of operations, while the incomes from the interest margin and the market operations went up by 19%, and 13%, respectively.
The bank obtained such results by continuing to apply measures aimed at counteracting the effects of the financial crisis, and which consisted in the strict control of the general expenses and in the strengthening of the risk control.
The net risk cost increased considerably in the current economic conditions, reaching 316 bp. The rate of bad loans is lower than the average of the banking system, as shown by the statistics of the National Bank of Romania.
The net profit of the Group, which also includes the results of the subsidiaries BRD Sogelease, BRD Finance and BRD Securities, is of RON 812 million (EUR 192 million). As for the net profit of the bank, it amounts to RON 792 million (EUR 187 million).
In the context of a significantly lower demand, the total loans extended by the bank at the end of 2009 amounted to over RON 34.9 billion, 48% of which represented loans to private customers. The customers' deposits exceeded RON 29.2 billion as at end 2009, up by 2% as against December 31, 2008.
The customer base remains robust - approximately 2.5 million customers - the inactive ones not included, considering the slower pace of attracting new customers. The bank network counts 930 units, the same as at the end of 2008. The operating ratio (general expenses / net banking income) maintains its competitive level, of 42%. The number of employees remained constant in 2009 - reaching almost 9,100 in the entire BRD Group.
"2009 was a difficult exam, with uncertainties regarding the macroeconomic developments. In 2009, the banks were subject to multiple pressures related to the increase in the costs of risks, and especially to ensuring the profitability of their operations given the extremely low demand for banking products and services. To us, it was an exercise of flexibility and adjustment to the effects of the crisis, which we completed successfully", said Guy Poupet, Chairman - CEO of BRD.
In 2009, BRD received two important awards from the international financial publications Euromoney and Global Finance, which designated it "Bank of the Year in Romania".
For more information on the annual results of BRD, please refer to the website of the bank, www.brd.ro, under the Shareholders/Investors section.
*The evolutions are calculated in nominal terms.
The 2009/2008 comparison excludes from the 2008 results the net gain brought by the Asiban transaction.
The figures have been calculated in compliance with the local accounting standards and have not been audited.

BRD results as at September 30, 2009: net profit of RON 660 million (EUR 156 million)
Main financial ratios of BRD-Groupe Société Générale as at September 30, 2009, according to the Romanian Accounting Standards*:
Note: The evolution against the same period of last year is presented without considering the gains from the sale, in Q3 2008, of the equity interest in Asiban SA.
- The net banking income reached RON 2,528 million (EUR 598 million), up by 18% against September 30, 2008;
- The gross operating income is of RON 1,465 million (EUR 346 million), up by 22% compared to the first nine months of 2008;
- The total volume of the loans extended to the customers is of RON 33 billion (EUR 7.9 billion), up by 8% against September 30, 2008;
- The cost/income ratio is 42.1%;
- The net risk cost increased to RON 673 million (EUR 159 million) from RON 226 million (EUR 62 million) at the end of the third quarter of 2008;
- The net profit is lower by 19% than the one registered at September 30, 2008, reaching RON 660 million (EUR 156 million).
*The conversion to EUR for the profit and loss account was made based on the average exchange rate calculated for the first 9 months of the year, i.e. RON 4.2278 for EUR 1, and for the balance sheet based on the NBR rate of exchange of September 30, 2009, i.e. RON 4.1981 for EUR 1.
The financial results of BRD - Groupe Société Générale at the end of the third quarter of the year reflects a satisfactory resistance to the negative effects of the decrease in the economic activity, doubled by a good-enough commercial performance considering the crisis-stricken economic environment. The net banking income reached RON 2,528 million (EUR 598 million), up by 18% compared to September 30, 2008, and the gross operating profit increased by 22% against the similar period of last year, reaching RON 1,465 million (EUR 346 million).
The total volume of the loans extended to the customers is of RON 33 billion, up by 8% compared to September 30, 2008.Loans to individuals reached RON 15.8 billion, up by 4%, while corporate loans increased by 12%, up to RON 17.2 billion. Nevertheless, there can still be noticed a slight decrease of the demand for loans in the 3rd quarter of 2009, as well. The customers' deposits reached, at the end of the first 9 months of 2009, RON 30.2 billion, up by 1% as compared to the same period of last year.
The net cost of risk, even if significantly higher, remains within acceptable limits given the current context due to a good risk control. Regarding non-performing loans, BRD maintains its position above the average of the banking environment.
The net profit for the first 9 months of the year is of RON 660 million (EUR 156 million), down by 19% compared to the same period of 2008.
The return on equity (ROE) at the end of Q3 was of 21.6%, while the cost/income ratio maintained at 42.1%.
"The banking activity was affected by the effects of the crisis in the third quarter, as well. This was caused, on the one hand, by the lack of demand for banking products and services, especially on the retail market, and, on the other hand, by the ongoing increase of non-performing loans. Due to the efficacy of its internal procedures, of the measures to reduce the operational expenses and to the quality of its portfolio, BRD has proved its capacity to resist in a difficult environment", declared Patrick Gelin, Chairman - CEO of BRD - Groupe Société Générale.
BRD - Groupe Société Générale had, at the end of September 2009, 2.6 million active customers. The bank has 2.2 million active cards and operates a network of over 1,450 ATMs and 20,000 POSs. The total assets of the bank at the end of September 2009 amount to RON 47.9 billion (EUR 11.4 billion).
The quarterly report is available to the public and investors on the website of the bank: www.brd.ro. Copies of the report may be obtained, on request, free of charge, at the headquarters of BRD - Groupe Société Générale, located at 1-7 Ion Mihalache Bd., 1st district, Bucharest.

Rezultatele BRD pe semestrul I

BRD Q1 results: net banking income of RON 815 million, up by 18%
The main financial ratios of BRD-Groupe Société Générale as at March 31, 2009, according to the Romanian Accounting Standards*:
- The net banking income reached RON 815 mn (EUR 191 mn), up by 18% as against March 31, 2008.
- The gross operating profit approached RON 460 mn (EUR 108 mn), up by 20% as compared to Q1 2008;
- The total volume of the loans to customers is of RON 33 bn (EUR 7.7 bn), superior by 19.5% as compared to March 31, 2008;
- The cost/income ratio is of 43.6%;
- The net risk cost increased to RON 201 mn (EUR 47 mn), as against RON 62 mn (EUR 17 mn) in Q1 2008;
- The net profit is down by 19% as compared to the net profit as at March 31, 2008, reaching RON 210 mn (EUR 49 mn).
* The conversion to EUR was made for the profit and loss account based on the average rate of exchange calculated for the first 3 months of the year, of RON 4.2663 for EUR 1, while for the balance sheet it was based on the NBR rate of exchange as at March 31, 2009, of RON 4.2348 for EUR 1.
The financial results of BRD - Groupe Société Générale during the first quarter of the year reflect the bank's efforts to continue its activity under normal parameters in the context of economic decrease, paralleled by the careful cost management and risk control. Thus, the net banking income reached RON 815 mn (EUR 191 mn), up by 18% than as at March 31, 2008, and the gross operating profit recorded an increase of 20% as compared to the similar period of last year, reaching RON 460 mn (EUR108 mn).
The total volume of the loans extended to the customers is of RON 33 bn, up by 19.5% as against March 31, 2008. The loans to private customers reached RON 16 bn, up by 17%, while the loans to corporate customers increased by 22%, up to RON 17 bn. The customers' deposits at the end of the first quarter of 2009 registered an increase of 9.4% as compared to March 31, 2008, reaching RON 29.6 bn. BRD is continuing its prudent lending policy. The return on equity (ROE) at the end of Q1 was of 20%, while the cost/income ratio was of 43.6%, these results being reasonable in the current context.
The net profit of the first quarter is of RON 210 mn (EUR 49 mn), down by 19% as compared to Q1 2008. This decrease is mainly caused by the significant accrual of the credit risk cost which, in the current market conditions, can nevertheless be considered as well controlled. Considering certain non-recurrent incomes of the first quarter of 2008, the decrease of the net result would be of only 7%.
"We noticed a strong reduction of the demand for loans, and a significant increment of the risk cost. These two factors are mainly caused by the decrease of the economic activity and by the very high interest rates, mainly for lei. BRD, which anticipated this situation a few months ago, has adjusted to these circumstances by commercial actions focused on the flexibility and diversity of its range of products. We should also note that, although significantly higher than last year, the net risk cost should still be far below the average of the banking system", declared Patrick Gelin, Chairman - CEO of BRD - Groupe Société Générale.
BRD - Groupe Société Générale has, at the end of March 2009, 2.6 mn customers. The bank has issued 2.3 mn cards and operates a network of 1,400 ATMs and 20,000 POSs. The bank assets totalled, at the end of March 2009, RON 50.6 bn (EUR 11.9 bn).
The quarterly report is available for the public and investors on the web site of the bank: www.brd.ro . Copies of the report may also be obtained, upon request, free of charge, at the headquarters of BRD - Groupe Société Générale, located 1-7 Bd. Ion Mihalache, 1st district, Bucharest.
BRD-Groupe Société Générale is the second bank in Romania in terms of total assets. The bank has over 2.6 mn customers and operates a network of 935 agencies. BRD has the second market capitalization on the Bucharest Stock Exchange.

2008, an excellent year for BRD
Bucharest, February 12, 2009. BRD - Groupe Société Générale obtained in 2008 a net consolidated profit of RON 1,364 million (about EUR 370 million), up by 46% as compared to 2007; excluding the impact of BRD's selling its shareholding in Asiban, the net consolidated profit is of RON 1,138 million (approximately EUR 309 million), up by 22% as against the profit recorded at the end of 2007.
BRD -Groupe Société Générale saw a significant growth of its activities in 2008, against a background of difficult economic environment, especially during the fourth quarter of the year.
The main financial ratios* of BRD-Groupe Société Générale as at December 31, 2008, excluding the impact of the sale of the shareholding in Asiban, are:
|
These excellent results were due to the internal measures taken ever since the first quarter in anticipation of the financial crisis and of the slow-down of economic growth. Also, the strict control of the general expenses and the strengthening of the risk control contributed to these results.
The business volume was satisfactory; the lending activity remained strong, while the growth of deposits was more modest, but this is an isolated phenomenon caused by the market volatility during the final quarter of 2008. In fact, BRD's liquidity remains solid in structural terms.
The net profit of the group, which also includes the results obtained by the subsidiaries BRD Sogelease, BRD Finance and BRD Securities, is of RON 1,138 million (around EUR 309 million), in increase by 22% as compared to the same period of last year. If we add the surplus made by selling the shareholding in Asiban, the net profit amounts to RON 1,364 million (approximately EUR 370 million), a historical value for BRD. As for the net profit of the bank, it amounts to RON 1,127 million (about EUR 306 million). If we include, as well, the profit made by selling the shareholding in Asiban, the net profit of the bank amounts to RON 1,353 million (approximately EUR 367 million).
These results strengthen the robust solidity of the bank, the regulatory capital covering almost 12% of the risk-weighted assets of the bank, against the minimum 8% imposed by NBR.
The Return on Equity (ROE) was of 32.8% at the end of December 2008, while the cost/income ratio was of 42%, despite a still high level of investments (EUR 64 million). The net risk cost was maintained at a very low level, bad loans representing only 1% of the overall commitments.
At the end of 2008, the bank had extended loans amounting to over RON 34 billion, the loans to private customers representing 48% of the total amount. As compared to December 31, 2007, the total volume of the loans extended by BRD - Groupe Société Générale increased by 27%.
As for the customers' deposits, at the end of 2008 they exceeded RON 28.5 billion, up by 6% as against December 31, 2007.
"The year 2008 marks the end of a favourable economic cycle and the start of a difficult period, characterised, on the one hand, by uncertainties regarding the future macro-economic evolutions and, on the other hand, by regulatory constraints, the increasing costs of financing and by the need to ensure the profitability of our operations", stated Patrick Gelin, Chairman - CEO of BRD.
In 2008, BRD continued to develop its "proximity bank" concept. At the end of 2008, the BRD network counted 930 agencies, more by 124 as compared to December 31, 2007. In 2008, the bank attracted over 180,000 active customers. The development of the operations was accompanied by the recruitment of more than 2,200 new employees, thus the total number of employees exceeding 9,400 at the end of last year.
In 2008, BRD received two important distinctions as Bank of the Year in Romania from the international financial publications The Banker and Global Finance.

During the first nine months of 2008, BRD - Groupe Société Générale recorded an important activity growth, both on the private and on the corporate banking sectors. The results of BRD - Groupe Société Générale at the end of the third trimester reflect this trend, in the context of a careful monitoring of the counterparties' quality.
The main financial ratios of BRD-Groupe Société Générale as at September 30, 2008 are:
- Net operating profit: RON 813 million (EUR 223 million), superior by 19% to the net profit recorded as at September 30, 2007; by adding the exceptional profit obtained from the sale of the equity interest in Asiban, the net profit obtained by BRD as at September 30, 2008 amounts to RON 1,038 million (EUR 285 million), higher by 52.2% to the level recorded at 30/09/2007;

- An excellent level of the cost/income ratio: 44% (excluding the impact of the sale of the equity interest in Asiban)
The net profit of the first 9 months of the year, excluding the result of the sale of the equity interest in Asiban, is of RON 813 million (EUR 223 million), in growth by 19% as compared to the same period of last year. The exceptional profit (after the payment of taxes) obtained from the sale of the equity interest in Asiban amounts to RON 225 million (EUR 62 million). The Return on equity (ROE) as at end September was of 33%, which shows the high efficiency of the bank's operations, while the cost/income ratio was of 44%, which reflects the stringent management in the context of a less favourable economic environment as compared to the same period of 2007. The net risk cost maintained to a very low level.
The volume of the loans extended to the customers is higher by 32% as against September 30, 2007. Customers' deposits recorded at the end of T3 2008 an increase of 25% as against September 30, 2007. The total assets of the bank, at the end of September 2008, amount to RON 44.5 billion (EUR 11.9 billion).
"The solid growth at the end of the first nine months is due to the implementation of an adequate commercial policy both on the retail and on the corporate markets. At the same time, the growth is carefully calibrated, by applying strict risk monitoring principles in a relatively difficult market context. Indeed, our solidity was confirmed by the rating agency Fitch, which reasserted the rating A - for BRD at the end of last week", declared Patrick Gelin, Chairman - CEO of BRD - Groupe Société Générale.

BRD launched its first chip banking cards
BRD-Groupe Société Générale launched today its first chip cards. BRD thus becomes the first major bank in Romania to issue cards according to the EMV standard (technological standard created together by Europay, MasterCard and Visa, which allows the interoperability between the chip cards and the accepting systems - ATMs and POSs - in order to make high security payments).
The entire ATM and POS fleet is EMV certified since 2007, being capable of accepting payments from cards incorporating this technology.
The chip cards are dual cards, equipped both with a microprocessor and a magnetic stripe and have multiple advantages, the most important being the high level of security which eliminates the possibility of fraud. The transactions made offline become this way as secure as any authorized online transactions. The existence of the chip also allows higher speed in processing the transactions.
The first payment means to have been transferred to the new technology are the Maestro and Cirrus BRD cards. They will be followed, in the shortest time, by all the MasterCard cards and, by the end of the year, the bank will incorporate the new technology to the entire card portfolio.
The magnetic stripe cards in stock will function normally throughout their validity and at the time of their expiry they will be automatically replaced by the new chip technology.
BRD issued over 2.2 million cards and operates a network of over 1,370 ATM and over 15,000 POSs. BRD-Groupe Société Générale has assets of approximately EUR 12 billions. The Bank has over 2.5 million customers and operates a network of more than 800 units. BRD has the second market capitalization at the Bucharest Stock Exchange.

BRD and Orange have become main partners of ResponsabilitateSociala.ro
Orange Romania and BRD-Groupe Société Générale have become the main partners of the first Romanian portal dedicated to corporate social responsibility.
The two companies, known for their involvement in the community, thus aim at encouraging the Romanian managers and companies to contribute to the lasting development of the society.
Adela Pascu, General Secretary of BRD-Groupe Société Générale, considers that the role of the companies in the society has changed: "Companies have now the moral obligation to assume their responsibility towards the consumers, the employees and the communities in which they operate. The public opinion asks them to comply with professional ethic rules and to get involved in social causes".
At the international level, the public pressures the companies to invest in the development of the society. Studies from 2000 show that 70% of the European consumers took into account the responsibility of a company when making a decision on whether to buy a product or a service (MORI 2000). In 2004, according to Cone Corporate Citizenship Study, 86% of the Americans war tempted to exchange a brand for a similar one, but involved in a social cause.
Even if Romania is still far in terms of public pressure on the business sector, Amalia Fodor, PR Manager, Orange Romania, thinks there should be a both-way communication between a company and its public: "An open and transparent communication is the best way to progress. Social responsibility means continuous development and, also, consideration of each opinion".
Concerning the reasons at the basis of the partnership with ResponsabilitateSociala.ro, Amalia Fodor says: "We want to contribute to a programme that offers Romanian companies the information they need in order to actively get involved in the life of the community". In her turn, Adela Pascu declares: "By supporting the programme, BRD aims at promoting the social responsibility concept in Romania - among the company managers, public authorities, ONGs, mass-media and the wide public".
The investment of the new partners will allow the programme ResponsabilitateSociala.ro to expand its communication capacity in the business sector and to involve the public and the civil society to a greater extent in the debate on the role of the companies in the development of the Romanian society. Also, the organizers wish to reinforce the portal's objective of being the most important source of information on the companies investing in social projects in Romania.

BRD 500: BRD - Groupe Société Générale inaugurated on Tuesday its 500th agency
BRD - Groupe Société Générale inaugurated in Bucharest, on Tuesday, its 500th agency. The network of BRD - Groupe Société Générale has known a sustained development these past two years, starting with the launching of the BRD Express project, in October 2004.
The BRD network development project defined a new concept of bank agency based on three key-characteristics: the proximity to potential customers, the simplicity and rapidity of the operations and the customer's comfort.The BRD Express agencies are small units situated, depending on the needs, both in the street and in the premises of an institution or of trading centres.
Fast and practical for the customers, the agencies have a " universal desk " that processes the entire line of current operations, as well as simplified forms and work procedures. The opening hours of each agency are adapted so that the customer consultants and the tellers may service the customers according to extended and flexible working hours. The Express Programme also allowed the implementation of unique projects within the Société Générale Group, such as the bank agencies in the universities, the automated bank agency " BRD 24h ", the agency for the expatriate customers, as well as BRD Café.
After the launching of the programme, the densification of the BRD - Groupe Société Générale network knew a substantive development; if on December 31, 2004, BRD counted 212 agencies, a year later the bank already had 326 agencies and on June 30, 2006, their number reached 441.
"The development of the BRD network represents an important effort in terms of investment and logistics, a project developed in an alert rhythm, which could be implemented due to the quality of the BRD teams involved", stated Patrick Gelin, President - CEO of BRD - Groupe Société Générale.
"In October 2004, together with the launching of the new "BRD Express" concept and with the simultaneous opening of 33 new agencies, our bank relaunched the proximity bank concept for the entire banking community. Starting with 2005, all the banks, as triggered by a signal, reviewed their development strategy. BRD managed to stimulate the development of the retail bank in Romania and to point the direction in retail for the Romanian banking market. We have at present the largest banking network in Romania, with a dynamics and profitability in compliance with our strategy" stated Sorin-Mihai Popa, Deputy CEO of BRD - Groupe Société Générale, the coordinator of the BRD agency network and of the commercial and retail activities of the bank.
BRD - Groupe Société Générale is the second bank in Romania, with assets of more than EUR 6 billion. The bank has over 1,8 million customers and operates a network of 500 agencies. BRD has the second capitalisation at the Bucharest Stock Exchange (approximately EUR 3,5 billion).

BRD Finance and the Daniel Expert store network launched a new credit card issued under the MasterCard logo
On June 15, 2006, BRD Finance and Daniel Expert launched the credit card Daniel, issued under the MasterCard logo. The new card is a flexible financing product, with international utilisation, destined to those who wish to acquire products in the Daniel network, of over 35 stores, as well as in any store displaying the MasterCard logo. In addition, the holders of the Daniel card have the possibility to withdraw amounts from any ATM displaying the MasterCard logo.
The users of the Daniel card will benefit from a series of facilities destined to them exclusively: a 5% discount for any product bought by card in the Daniel stores; prepayments without penalty; free guarantee against any possible accidents occurred during the transportation or assembling of the products, for a month sine the purchase.
Another important advantage for the card holders is the possibility to choose one of the two reimbursement options, each time they shop in the Daniel stores: the full reimbursement of the spent amount, which means a payment period not exceeding 40 days, during which no interest is charged, or the payment of a minimum monthly amount for several months. As and when the drawn amounts are repaid, they become once again available on the card and can be redrawn for new acquisitions.
The Daniel card can be obtained rapidly, only with the salary certificate or the pension slip, making a first acquisition of minimum RON 500 in any Daniel store. The documents are submitted in the Daniel stores, in the lending bureaus, and the reply is given on the spot. After the approval, the contract can be signed immediately and the card will be sent to the holder, at home, within maximum 2 weeks.
The card issuance and management fee for the first year is of RON 19,9 (199.000 ROL) and is paid upon receipt of the statement of account.
The paid interest diminishes with each utilisation of the card: from 2,49% per month for amounts not exceeding RON 800 (ROL 8 million), to 1,69% per month for amounts of over RON 4.000 (ROL 40 million).
The Daniel Expert stores offer customers a varied line of products, from electronic and electrical goods to computers and mobile phones. At present, the network covers 15 counties by 35 stores, but according to the statements of the General Manager, Mr. Dan Damian Oprescu, it will continue to extend on the national level. Ever since the opening of the first store in 1993, the slogan "Quality at the best price" made the difference from the competitors' offers and represented a guarantee for success.
The collaboration with BRD Finance, started a year ago, was consolidated with the launching of the Daniel credit card. This partnership brings advantages to both companies, but especially to the Daniel Expert customers, who from now on will buy the products they wish more easily.
