BRD – GROUPE SOCIETE GENERALE S.A. WAS ENGAGED TO INTERMEDIATE THE OFFERING RELATED TO THE SHARE CAPITAL INCREASE OF SOCIETATEA ENERGETICA ELECTRICA S.A.

Offering for subscription of new shares issued within the share capital increase is addressed exclusively to the existing shareholders of Electrica S.A. registered in the shareholders’ registry kept by the Central Depository S.A. on the registration date, October 24, 2019.

The existing shareholders could subscribe shares within the offering, as follows:

Through branches/ agencies of BRD – Groupe Societe Generale S.A., as mentioned in the appendix to the Simplified Prospectus, during the working hours, between 9:00 a.m. and 5:00 p.m. Romanian time on each business day during the period November 1, 2019 – December 3, 2019, except for the last business day of the subscription period, December 3, 2019, when the subscription may be registered only between 9:00 a.m. and 11:00, Romanian time.

by courier/ post, with the return of receipt, during the period November 1, 2019 – December 3, 2019, sent to the BRD – Groupe Societe Generale S.A.’s registered office of 1-7 Ion Mihalache Blvd., 6th floor, room 209-210, 1st District, 011171, Bucharest, Romania. On the envelope will be mentioned, caps lock “Electrica S.A. share capital increase”. The Manager will take into consideration only the subscription forms registered up to 11:00, Romanian time in the last business day of the subscription period, December 3, 2019.

The existing shareholders who have a valid contract for financial investment services concluded with a participant authorized by Financial Supervisory Authority (“FSA”), the subscription will be performed exclusively through the respective participant.

Subscription period is between November 1, 2019 – December 3, 2019, inclusive;

Offering price is RON 10/ new share

The Prospectus has been approved by the Financial Supervisory Authority (FSA) by the Decision no. 1311 from 30.10.2019. The Prospectus and the FSA approval decision are published on the Manager, the Issuer and BSE’ websites, i.e. www.brd.ro, www.electrica.ro, www.bvb.ro, starting with October 31, 2019.

The approval visa applied on this prospectus does not constitute a guarantee or any kind of assessment by the Financial Supervisory Authority with regard to the opportunity, advantages or disadvantages, profit or risks involved in accepting the offer, object of the approval decision. The approval certifies only the conformity of this prospectus with the legal requirements and the rules adopted for the application thereof.
