In order to apply the provisions of article 113, letter A of CNVM Regulation no.1/ 2006 on issuers and operations with securities, BRD - Groupe Société Générale S.A. releases the following notice to investors:

In accordance with the provisions of article 107, paragraph 21 of the Emergency Ordinance no. 99 dated December 6th, 2006 on Credit Institutions and Capital Adequacy, with amendments and supplements, which stipulates that “if a credit institution operates in a unitary management system, the Chairman of the Board of Directors is not entitled to also hold, within the same credit institution, the position of CEO …”, Mr. Philippe Charles Lhotte decided to remain CEO of BRD Groupe Société Générale S.A. and member of the Board of Directors.

BRD - Groupe Société Générale S.A.’s Board of Directors, joint this morning, decided to appoint Mr. Giovanni Luca Soma, member of the Board of Directors, in the vacant position of Chairman of BRD Groupe Société Générale S.A.’s Board of Directors, starting with May 26th, 2015.

Mr. Soma took over the position of Director of BRD – Groupe Société Générale S.A. in October 2014.
